This Agreement is entered into as of the date of last signature below by and between Northwind Systems, Inc., a Delaware corporation, and Acme Corporation.
4. Term. This Agreement continues for twelve (12) months and renews annually unless either party gives notice of non-renewal.
5. Fees. Reseller shall pay the fees set out in Exhibit A within thirty (30) days of invoice.
6. Governing law. This Agreement is governed by the laws of the State of Delaware.
